1. Acceptance of Terms
By accessing or using the Noodle Box platform and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you (or the company you represent) and Bark and Beauty AG, a company incorporated in Switzerland (Commercial Register: CHE-251.390.557), located at Moosstrasse 35, 8134 Adliswil, Switzerland ("Noodle Box", "we", "us", or "our"). If you do not agree to these Terms, you may not access or use the Service.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Description of Service
Noodle Box is a business suite designed for companies of all sizes. The platform comprises the following products:
- Noodle Chat — A WhatsApp Business API integration tool that enables customer messaging, automated conversations, template management, and workflow integrations.
- Noodle Book — An online booking and appointment scheduling solution with calendar sync, automated reminders, and payment collection capabilities.
- Noodle Card — A customer and client management system with enterprise-grade security, custom fields, activity tracking, and role-based access control.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable prior notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Account Registration
To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to:
- Provide truthful and accurate information during registration and keep it up to date.
- Not share your account credentials with unauthorized parties.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
- Ensure that your account is used only by authorized personnel within your organization.
We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, including in cases of suspected fraud, abuse, or violation of these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Send unsolicited bulk messages, spam, or communications that violate applicable messaging platform policies, including the WhatsApp Business Policy.
- Transmit any content that is unlawful, defamatory, harmful, fraudulent, infringing, or otherwise objectionable.
- Attempt to gain unauthorized access to any portion of the Service or related systems or networks.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service.
- Use the Service to store or transmit malicious code, viruses, or any other harmful software.
- Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein.
- Resell, sublicense, or otherwise commercialize access to the Service without our prior written consent.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including reporting such users to law enforcement authorities.
5. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and other content, is owned by or licensed to Bark and Beauty AG and is protected by Swiss and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes in accordance with these Terms.
You retain ownership of all content and data you submit to the Service ("Customer Data"). By submitting Customer Data, you grant us a limited licence to process, store, and use that data solely to provide the Service to you. We do not claim any ownership rights over your Customer Data.
You must not remove, obscure, or alter any proprietary notices, labels, or marks on the Service or its documentation.
6. Payment Terms
Access to certain features of the Service is subject to the payment of fees as described on our pricing page. All prices are denominated in Swiss Francs (CHF) unless otherwise stated.
Billing cycles are as follows:
- Monthly billing: Fees are charged at the beginning of each calendar month for the upcoming billing period.
- Annual billing: Fees are charged upfront for a full 12-month period and may attract a discounted rate as displayed at the time of purchase.
All fees are non-refundable except as expressly set out in these Terms or as required by applicable law. If you upgrade your subscription plan mid-cycle, the additional fees will be prorated for the remainder of the current billing period. Downgrade changes take effect at the start of the next billing period.
We reserve the right to change our pricing with at least 30 days' advance notice. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.
Payments that are overdue by more than 14 days may result in suspension of your account until all outstanding amounts are settled.
7. Service Availability
We aim to provide a reliable and high-quality Service. We target a reasonable level of uptime and will use commercially reasonable efforts to maintain availability of the platform at all times.
Scheduled maintenance windows will be communicated in advance where possible, typically outside peak business hours. Unplanned outages or degraded service will be communicated through our status page and, where significant, by direct notification to affected customers.
We do not guarantee uninterrupted or error-free operation of the Service. The Service may be temporarily unavailable due to scheduled maintenance, emergency repairs, third-party infrastructure issues, or events beyond our reasonable control.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Bark and Beauty AG and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use the Service.
Our total cumulative liability to you for any claims arising from or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Swiss law.
9. Termination
You may terminate your account at any time by contacting us or through your account settings. Termination will take effect at the end of your current billing period unless you request immediate termination, in which case no refund will be issued for any unused portion of a prepaid period.
We may suspend or terminate your access to the Service immediately if:
- You breach any provision of these Terms and fail to remedy the breach within 14 days of written notice.
- You fail to pay any amounts due and such failure continues for more than 14 days after the due date.
- We are required to do so by law or regulatory authority.
- We reasonably believe that your use of the Service poses a risk to the security or integrity of our platform or to other users.
Upon termination, your right to access and use the Service will cease immediately. We will retain your Customer Data for a period of 30 days following termination, after which it will be permanently deleted, unless a longer retention period is required by law.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be subject to the exclusive jurisdiction of the competent courts of Zurich, Switzerland.
If you are a consumer located in the European Union, you may also have the right to bring a claim in the courts of your country of residence under applicable EU consumer protection laws.
11. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 14 days before the changes take effect. The updated "Last updated" date at the top of this page will reflect the date of the most recent revision.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.
